Terms of Service

Please read these Terms carefully — they govern your use of KinCoffer. We’ve aimed for plain language, but this is a binding agreement.

1. Agreement to Terms

These Terms of Service (the “Terms”) form a binding agreement between you and KinCoffer (“KinCoffer”, “we”, “us”) governing your access to and use of KinCoffer (the “service”).

By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

2. Description of Service

KinCoffer is a digital legacy and end-of-life planning platform. It lets you privately store encrypted messages, documents, final wishes, and directives; designate recipients, family members, and executors; and arrange for designated content to be shared with the people you choose — immediately, or only after a verified passing.

3. Important Disclaimer — Not Legal, Financial, or Medical Advice

KinCoffer is a tool for organizing and storing your wishes and information. It is not a law firm, financial adviser, or healthcare provider, and nothing in the service constitutes legal, financial, tax, or medical advice.

KinCoffer does not draft, review, witness, notarize, file, or execute wills, trusts, advance directives, or any other legal instrument, and using KinCoffer does not create an attorney-client or fiduciary relationship. Documents you store may not be legally binding on their own. You are responsible for ensuring your legal and financial arrangements are valid, and you should consult qualified professionals licensed in your jurisdiction.

4. Eligibility & Your Account

Eligibility

You must be at least 18 years old and able to form a binding contract to use the service.

Account security

You are responsible for the accuracy of your account information and for safeguarding your credentials and vault passphrase. Because your content is encrypted with a key derived from your passphrase, we cannot recover it if you lose your passphrase and all recovery options. Notify us promptly of any unauthorized use of your account.

Designated people

You are responsible for the accuracy of the contact details of recipients, family members, and executors you designate, and for ensuring you have an appropriate basis to share their information with us.

5. Your Content & License

You retain all rights to the content you add to KinCoffer. We do not claim ownership of your content.

You grant us a limited, non-exclusive license to host, store, encrypt, back up, transmit, and — strictly according to your instructions — release your content to the people you designate, solely to operate and provide the service. This license ends when you delete the content or your account, except for content already released to recipients and for limited copies retained as required by law or for backup and security.

You are solely responsible for your content and confirm you have the rights to store and share it, and that it does not violate any law or third-party right.

6. Recipients, Executors & Release of Content

You control who receives your content and when. Where you enable posthumous release, KinCoffer is designed to release designated content only after a passing is verified through the checks you configure (which may include proof-of-life check-ins, confirmation by designated executors, and/or supporting documentation).

KinCoffer is not an executor, trustee, or personal representative of your estate, and does not administer your estate or distribute assets. We act only as a service that stores and conveys the content and instructions you provide. We do not guarantee that any recipient will read, act on, or be able to access released content, or that any verification process will be error-free.

7. Acceptable Use

You agree not to:

  • Use the service for any unlawful, harmful, or fraudulent purpose;
  • Upload content you do not have the right to store or share, or that infringes others’ rights;
  • Attempt to access another user’s account or content, or circumvent security or encryption;
  • Interfere with, disrupt, or place undue load on the service or its infrastructure;
  • Reverse engineer, scrape, or build a competing product from the service; or
  • Use the service to store content that is illegal or that you are prohibited from possessing.

8. Subscriptions & Payment

Early access & plans

KinCoffer is currently free during early access. We expect to offer paid plans in the future; we will give notice before introducing charges that would apply to you, and you will not be charged without your consent.

Billing & cancellation

If you purchase a paid plan, you authorize us and our payment processor to charge the applicable fees and any taxes. Paid plans renew automatically unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law.

Price changes

We may change prices prospectively. We will provide reasonable advance notice of price changes that affect you, and they will take effect on your next renewal.

9. Intellectual Property

The service — including its software, design, and trademarks (including the KinCoffer name and logo) — is owned by KinCoffer and protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the service in accordance with these Terms. All rights not expressly granted are reserved.

10. Third-Party Services

The service relies on third-party providers (such as hosting, email, and payment processing) and may link to third-party sites or services. We are not responsible for third-party services, and your use of them may be subject to their own terms.

11. Disclaimers & Limitation of Liability

Service provided “as is”

The service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

No guarantee of delivery

We do not warrant that the service will be uninterrupted, error-free, or secure, or that content will be delivered to, accessed by, or acted upon by any recipient. Do not rely on KinCoffer as your only means of communicating critical wishes.

Limitation of liability

To the maximum extent permitted by law, KinCoffer and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $100.

12. Indemnification

You agree to indemnify and hold harmless KinCoffer and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the service or its users. On termination, the rights granted to you end; sections that by their nature should survive (including content licenses for already-released content, disclaimers, limitations of liability, and dispute resolution) will survive.

14. Privacy

Our Privacy Policy explains how we handle your information and forms part of these Terms. By using the service, you consent to that handling.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where mandatory consumer-protection laws of your place of residence apply.

17. Dispute Resolution

Informal resolution first

Most concerns can be resolved quickly. Before filing a claim, please contact us at legal@kincoffer.com so we can try to resolve it informally.

Arbitration

To the extent permitted by law, any dispute that cannot be resolved informally will be settled by binding individual arbitration rather than in court, except that either party may bring a claim in small-claims court where eligible.

Class-action waiver

To the extent permitted by law, disputes will be resolved only on an individual basis, and you and we waive any right to participate in a class or representative action. Where this waiver is unenforceable, the arbitration provision will not apply to that dispute.

18. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms and our Privacy Policy are the entire agreement between you and us regarding the service and supersede any prior agreements. Our failure to enforce a provision is not a waiver of it.
